The following is the terms of the agreement between CollegeSitter.com and Reid Solutions LLC and you, the "User", (parent, student sitter, or any other User of this site) of goods, services, or information through the CollegeSitter.com Web site and Reid Solutions LLC  (the “Site”). If you do not agree to these terms, you will not be able to purchase anything, register or subscribe with this Site, so please review these terms carefully:

Introduction. User agrees to the terms and conditions outlined in this Online Contract ("Contract") with respect to the goods, services and information provided by or through the Site. This Contract constitutes the entire and only agreement between CollegeSitter.com and Reid Solutions LLC and User, and supersedes any and all prior or contemporaneous agreements, representations, warranties, and understandings with respect to the goods, services and information provided by or through the Site, and the subject matter of this Contract. User agrees to review this Contract prior to reviewing information or purchasing anything and purchase of a good, service, subscription, or registration on this Site shall be deemed acceptance of this Contract.

Copyright. The content, organization, gathering, compilation, magnetic translation, digital conversion and other matters related to the Site are protected under applicable copyrights, trademarks, and other proprietary (including but not limited to intellectual property) rights, and, the copying, redistribution, use or publication by a User of any such content or any part of the Site is prohibited.

Editing, Deleting, and Modification. CollegeSitter.com and Reid Solutions LLC reserves the right in its sole discretion to edit or delete any information or content appearing on the Site and to remove any goods and services for sale. Upon notice published over the Service, CollegeSitter.com and Reid Solutions LLC may modify this Contract, or prices, and may discontinue or revise any or all aspects of the Site in its sole discretion and without prior notice. Modification of this Contract will be deemed effective upon publication on the Site with respect to transactions occurring after said date.   CollegeSitter.com and Reid Solutions LLC also reserves the right to change the Terms and Conditions. The Terms and Conditions  in effect at the time of your use shall govern your use of the site.

Purpose of Site/Service: CollegeSitter.com and Reid Solutions LLC connects college student babysitters and other registered babysitter Users "Student Sitters" with families "Parents" in need of service. CollegeSitter.com and Reid Solutions LLC  is a communications platform only.  We are not a referral service.  We do not perform background checks on any of our Users.  Your use of this site is entirely at your sole risk. Due to the nature of the Internet, CollegeSitter.com and Reid Solutions LLC cannot confirm that each Student Sitter or Parent is who they claim to be. By using this site, Users do hereby represent, understand and expressly agree that CollegeSitter.com and Reid Solutions LLC does not have control over any aspect of the services actually delivered by the Student Sitters, nor of the integrity, responsibility or any of the actions whatsoever of the Parents. All Users of CollegeSitter.com and Reid Solutions LLC do expressly agree not to hold CollegeSitter.com and Reid Solutions LLC (or CollegeSitter.com and Reid Solutions LLC's agents, assigns, representatives, advertisers or employees) liable for any instruction, advice or services delivered which originated through the Site. CollegeSitter.com and Reid Solutions LLC expressly disclaims any liability whatsoever for any damage, suits, claims, and/or controversies that have arisen or may arise, whether known or unknown therefrom.

Please note that babysitter services are NOT guaranteed.  Persons listed on CollegeSitter.com and Reid Solutions LLC are not employed by the site. CollegeSitter.com and Reid Solutions LLC does not recommend any babysitters, parents, or Users. CollegeSitter.com and Reid Solutions LLC does not perform a background examination or reference check for any babysitter, parent, or User of this site. We assume no responsibility or liability associated with hiring a babysitter or working for a parent named on the site. 

By accepting the Terms and Conditions of CollegeSitter.com and Reid Solutions LLC, the User affirms and attests that CollegeSitter.com and Reid Solutions LLC has not conducted an examination of any babysitter, parent or User of the site and that it is the User's sole responsibility to scrutinize the references and initiate a background examination of any babysitter, parent, or User the User contacts, or subsequently hire or become employed by, by way of CollegeSitter.com and Reid Solutions LLC; that CollegeSitter.com and Reid Solutions LLC does not recommend any babysitter, parent, or User; and that CollegeSitter.com and Reid Solutions LLC assumes no responsibility or liability associated with hiring a babysitter or working for a family named on CollegeSitter.com and Reid Solutions LLC.

The User affirms and attest that it is not possible to predict a person’s reaction to every situation and/or condition with which they are confronted. The User acknowledges that it is therefore impossible to guarantee that the babysitter, parent or User the User hires or becomes employed by by way of CollegeSitter.com and Reid Solutions LLC will act safely in all situations. The User hereby affirms they are aware of the inherent risks that may be associated with utilizing the services of a babysitter or being employed by a parent and that the User voluntarily elects to utilize CollegeSitter.com and Reid Solutions LLC.

Transactions: Parents may seek the services of a Student Sitter through the use of CollegeSitter.com and Reid Solutions LLC.  If or when a Parent has accepted the terms of  service and payment from the Student Sitter and the Student Sitter has accepted the terms of service and or payment from the Parent, there is a binding contract implicit between the Parent and the Student Sitter.  CollegeSitter.com and Reid Solutions LLC will not be held responsible and expressly disclaims any liability whatsoever for any claims and/or controversies that may arise for any disputes between any Users. By using this Site, you do hereby represent, understand, and expressly agree to hold CollegeSitter.com and Reid Solutions LLC harmless for any claim or controversy that may arise from any disputes between Users of the Site.

Eligibility: CollegeSitter.com and Reid Solutions LLC services are available only to individuals who can form legally binding contracts under applicable law. Without limiting the foregoing, CollegeSitter.com and Reid Solutions LLC's services are not available to anyone under the age of eighteen (18) or to anyone who may not legally work within the United States. This Site is currently available only to United States citizens and/or any individuals who are legally in the jurisdiction of the United States and may legally work within its jurisdiction. Any misstatements and/or misrepresentations regarding the background, age, experience and/or eligibility for employment in the jurisdiction of the United States of any Student Sitters or any other Users of this Site are not the responsibility of CollegeSitter.com and Reid Solutions LLC. CollegeSitter.com and Reid Solutions LLC does hereby disclaim any liability whatsoever for any misstatements and/or misrepresentations made by any Student Sitters and/or Users of this Site. Users do hereby represent, understand and agree to hold CollegeSitter.com and Reid Solutions LLC harmless for any misstatements and/or misrepresentations made by any Users of this Site.

Release: Since CollegeSitter.com and Reid Solutions LLC is not involved in  the actual contact between Users, in the event that you have a dispute with one or more Users, you release CollegeSitter.com and Reid Solutions LLC (and our offices, directors, agents, investors, subsidiaries and employees) from claims, demands or damages (actual or consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

Information Provided by Users: Student Sitters, Parents, and all Users are responsible for providing accurate, timely and complete information to CollegeSitter.com and Reid Solutions LLC in connection with their registration for and use of the Site. CollegeSitter.com and Reid Solutions LLC is not responsible for any claims relating to any inaccurate, untimely or incomplete information provided to us. Users hereby grant CollegeSitter.com and Reid Solutions LLC an irrevocable, royalty-free, perpetual, non-exclusive worldwide license to use, display, modify, edit, create derivative works from and distribute any information or materials submitted to CollegeSitter.com and Reid Solutions LLC through e-mail, mail, or on the Site.

Your Information and CollegeSitter.com and Reid Solutions LLC: "Your Information" is defined as any information you provide to us or other Users in the registration process, through any means including but not limited to any e-mail feature or through traditional mail. You are solely responsible for your Information. CollegeSitter.com and Reid Solutions LLC simply acts as a conduit for your online distribution and publication of Your Information. With respect to your Information: your Information (or any items or contents listed therein): (a) shall not be false, inaccurate or misleading; (b) shall not be fraudulent or involve the sale of counterfeit or stolen items; (c) shall not infringe any third party's copyright, patent, trademark, trade secret or other proprietary right or rights of publicity or privacy; (d) shall not violate any law, statute, ordinance, or regulation (including without limitation those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising); (e) shall not be defamatory, trade libelous, unlawfully threatening or unlawfully harassing; (f) shall not be obscene or contain child pornography or, if otherwise adult in nature and harmful to minors; (g) shall not contain any viruses, Trojan Horses, worms, time bombs, cancelbots or other computer programming routines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information; (h) shall not create liability for us or cause us to lose (in whole or in part) the services of our ISPs or other partners or suppliers. Solely to enable CollegeSitter.com and Reid Solutions LLC to use the information you supply us with, so we are not violating any rights you might have in that information, you agree to grant us a non-exclusive, worldwide, perpetual;, irrevocable, royalty-free, sublicensable (through multiple tiers) right to exercise the copyright and publicity rights (but no other rights) you have in your Information, in any media now known or not currently known, with respect to your Information. CollegeSitter.com and Reid Solutions LLC will only use your Information in accordance with our Privacy Policy.

Enforcement: CollegeSitter.com and Reid Solutions LLC reserves the right in its sole discretion to refuse service at any time and for any reason. CollegeSitter.com and Reid Solutions LLC may also file suit against you for business interference or appropriate legal theories. We may also seek compensation to damage or potential damage to our reputation caused by your actions.  We have the right to seek all the costs CollegeSitter.com and Reid Solutions LLC may incur in seeking the payment of damages from you, including reasonable attorney's fees and other costs of court or dispute resolution.

Ownership of the Site: This Site and all of the content of the site, is protected by intellectual property and other laws throughout the world. None of the content found on this site may be copied, reproduced, republished, distributed, sold, licensed, transferred, distributed or modified.

Indemnification. User agrees to indemnify, defend and hold CollegeSitter.com and Reid Solutions LLC and its affiliates, licensors and suppliers harmless from any liability, loss, claim and expense, including reasonable attorney's fees, related to a User's violation of this Contract or use of the Site.

Non-Transferable. User's right to use the Service is not transferable and is subject to any limits established by CollegeSitter.com and Reid Solutions LLC or by User's credit card CollegeSitter.com and Reid Solutions LLC.

Setup and Payment. In the case of credit card collection, User represents and warrants that (i) the credit card information supplied is true, correct and complete and (ii) charges incurred by the User will be honored by the User's credit card CollegeSitter.com and Reid Solutions LLC and (iii) User  shall pay charges incurred by User at the amounts in effect at the time incurred, including all applicable taxes. User shall be responsible for all charges incurred through use of User's password. User agrees to keep his or her password confidential and to notify CollegeSitter.com and Reid Solutions LLC within 24 hours of any breach of this Contract or unauthorized use of the password. CollegeSitter.com and Reid Solutions LLC does not protect User from unauthorized use of User's password.

Use of Information. CollegeSitter.com and Reid Solutions LLC reserves the right, and User authorizes CollegeSitter.com and Reid Solutions LLC, to the use and assignment of all information regarding User’s use of the Site and all information provided by User, subject to applicable law.

Links to Other Sites: CollegeSitter.com and Reid Solutions LLC may contain links to other sites. CollegeSitter.com and Reid Solutions LLC is not liable for any loss or damages related to the content, products or services available through those sites.

Miscellaneous. This Contract shall be treated as though it were executed and performed in Centre County, PA and shall be governed by and construed in accordance with the laws of the United States of America and of the State of Pennsylvania (without regard to conflict of law principles). Any cause of action of User with respect to the Site must be instituted within six (6) months after any purchase or be forever waived and barred.  The language in this Contract shall be interpreted as to its fair meaning and not strictly for or against any party. All legal proceedings arising out of or in connection with this Contract shall be brought solely in State College, PA and User expressly submits to the jurisdiction of said courts and User consents to extra-territorial service of process. Should any part of this Contract be held invalid or unenforceable, that portion shall be construed consistent with applicable law as nearly as possible to reflect the original intentions of the parties and the remaining portions shall remain in full force and effect. To the extent that anything in or associated with the Site or the CollegeSitter.com and Reid Solutions LLC is in conflict or inconsistent with this Contract, this Contract shall take precedence. Failure of CollegeSitter.com and Reid Solutions LLC to enforce any provision of this Contract shall not be deemed a waiver of such provision nor of the right to enforce such provision.

Force Majeur: CollegeSitter.com and Reid Solutions LLC's delay in or failure to perform any of the services under this Agreement shall be excused if such delay or failure is caused by strike, fire, flood, earthquake, acts of nature, governmental action, failure of suppliers, communications lines failures, power failures, or for any other cause or event beyond our reasonable control. In such instances, we agree to resume performance of the services as soon as commercially feasible.

Disclaimer. THE SERVICE, CONTENT, GOODS AND SERVICES FROM OR THROUGH THE SERVICE ARE PROVIDED "AS-IS," "AS AVAILABLE," AND ALL WARRANTIES, EXPRESS OR IMPLIED, ARE DISCLAIMED (INCLUDING BUT NOT LIMITED TO THE DISCLAIMER OF ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE). THE SOLE AND ENTIRE MAXIMUM LIABILITY OF CollegeSitter.com and Reid Solutions LLC, FOR ANY REASON, AND User'S SOLE AND EXCLUSIVE REMEDY FOR ANY CAUSE WHATSOEVER, SHALL BE LIMITED TO THE AMOUNT PAID BY THE CUSTOMER FOR THE PARTICULAR ITEMS PURCHASED. CollegeSitter.com and Reid Solutions LLC AND ANY OF ITS AFFILIATES, DEALERS OR SUPPLIERS ARE NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, LITIGATION, OR THE LIKE), WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN CollegeSitter.com and Reid Solutions LLC AND User. THIS SITE AND GOODS AND SERVICES WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. SOME STATE STATUTES MAY APPLY REGARDING LIMITATION OF LIABILITY.
